1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you and Sagi Hammer (sole proprietor), doing business as Chapeta ("Chapeta," "we," "us," or "our"). By downloading, installing, or using the Chapeta application, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the app.

2. Eligibility

You must be at least 16 years old to use Chapeta. By using the app, you represent that you meet this requirement. If you are between 16 and 18 years old (or the age of majority in your jurisdiction), you confirm that a parent or legal guardian has reviewed and agrees to these Terms on your behalf.

3. The Service and Data Handling

Chapeta is a native macOS application that provides access to AI language models through OpenRouter, a third-party API aggregator. When you send a prompt, it is routed through the Chapeta server (api.chapeta.net), which proxies your request to OpenRouter and returns the AI provider's response. Chapeta also includes tools that can execute actions on your Mac (terminal commands, file operations, web search, screenshots, and more) when you grant permission.

Chapeta is not an AI provider. We do not host, train, or control any AI models. The quality, accuracy, and availability of AI responses depend on third-party providers.

Traffic between the app and Chapeta servers, and between Chapeta servers and upstream providers, is encrypted in transit (for example, via TLS). Prompt and response content is processed transiently in memory to route requests and is not stored as part of normal operation. We do log operational metadata (such as model, token usage, cost, timestamps, and request identifiers, including OpenRouter/provider request IDs) for usage tracking and billing.

In limited cases (for example, failed requests, abuse prevention, or active security investigations), logs may include truncated fragments of request or response content (for example, provider error messages or limited excerpts needed to diagnose failed requests), only to the extent necessary and with access restricted to authorized personnel and contractors acting on our behalf under confidentiality obligations and subject to access controls. See our Privacy Policy for further detail on data handling. Operational logs are retained according to our infrastructure settings and security needs (typically up to 30 days) and may be retained longer where required for legal obligations, fraud prevention, dispute handling, or active security investigations.

4. Plans & Billing

All plans require email sign-in. You sign in with a verification code sent to your email — no password, no social logins.

Chapeta offers a free download plus two paid plans:

  • Download: Installing the app is free. AI features require either Pro or Bring Your Own Key.
  • Pro (monthly or annual): Access to all models, tools, and skills. Includes a monthly credit allowance for AI usage. Billing and cancellation are managed through Paddle's customer portal.
  • Bring Your Own Key ($29.99 one-time): All Pro features. You provide your own OpenRouter API key and pay AI providers directly at their rates. Chapeta applies zero markup to API costs. The BYOK one-time purchase unlocks features for as long as Chapeta remains available. It does not guarantee perpetual availability of the app or any specific feature.

All purchases are processed by Paddle, our merchant of record. Paddle handles payment processing, invoicing, sales tax, and VAT on our behalf. By making a purchase, you also agree to Paddle's Terms of Service and Privacy Policy.

  • Pro subscriptions renew automatically each month unless canceled before renewal.
  • Annual Pro subscriptions renew automatically each year unless canceled before renewal.
  • Except where required by applicable law, subscription fees are non-refundable and partial billing periods are not prorated. Refund requests are evaluated and processed through Paddle, our merchant of record. See our Refund Policy for details.
  • Pricing may change with reasonable notice. Existing subscriptions renew at the price in effect at renewal unless otherwise communicated.
  • If a payment is disputed or charged back, we may suspend paid access until the billing issue is resolved.

5. Your Content

"Your Content" means the prompts you send, files you attach, and any data you provide to Chapeta. You retain full ownership of Your Content. Chapeta does not claim ownership rights over it.

Conversations, files, and settings are stored locally on your device and are not synced by Chapeta cloud storage. To provide the service, prompt and response content transits through the Chapeta server to OpenRouter and then to the model provider you selected.

OpenRouter and underlying model providers may store, retain, or otherwise process prompts and responses under their own terms and privacy policies. AI-generated outputs are also subject to the provider terms that apply to the model used. You are responsible for reviewing outputs before use and for ensuring your use complies with applicable laws and provider terms.

6. Your Responsibilities

When using Chapeta, you agree to:

  • Take responsibility for the prompts you send and how you use AI-generated outputs.
  • Review and approve tool actions as needed based on your selected approval mode.
  • Keep backups of important files before permitting write/edit actions.
  • Keep your API keys secure and not share them with others.
  • Comply with OpenRouter and model provider terms and acceptable-use policies.
  • Not use Chapeta for any purpose that violates applicable law.

7. Tool Execution and Authorization

Chapeta can execute real actions on your Mac, including terminal commands, file read/write/edit operations, web fetching, and screenshots, when you grant permission. Tools can access and modify files and system state within the permissions you allow.

You can restrict permissions, change approval mode, and revoke tool access at any time in the app and/or in macOS System Settings (for example, Screen Recording or Full Disk Access). If you enable an autonomous mode, you authorize actions to run with reduced or no per-action prompts according to that mode.

Chapeta provides safety mechanisms, including approval modes, blocked command lists, protected paths, and configurable tool iteration limits. These are best-effort safeguards, not guarantees, and they may not prevent every harmful or unintended action.

You are responsible for maintaining appropriate backups. Chapeta is not liable for data loss, system modification, or other consequences of tool actions you approve or authorize through your selected mode.

8. Acceptable Use

You agree not to use Chapeta to:

  • Generate content that is illegal, harmful, abusive, or violates the rights of others.
  • Attempt to bypass safety mechanisms, blocked command lists, or tool approval modes through prompt manipulation or other means.
  • Use tool execution to damage, disrupt, or gain unauthorized access to systems, networks, or data, whether your own or others'.
  • Violate OpenRouter terms, model provider terms, or model/provider acceptable-use policies.
  • Reverse-engineer, decompile, or attempt to extract source code from the Chapeta application, except to the extent such restrictions are prohibited by applicable law.
  • Redistribute, sublicense, or resell Chapeta or access to it, except as authorized in writing.
  • Misrepresent AI-generated content as human-created in contexts where such distinction is required by law or regulation.

We reserve the right to suspend or terminate access for violations of this section.

9. Third-Party Services

AI responses come from third-party providers (including but not limited to OpenAI, Anthropic, Google, Meta, Mistral, and others) accessed through OpenRouter. Chapeta does not control, guarantee, or take responsibility for:

  • The accuracy, completeness, or appropriateness of AI model outputs.
  • The availability or uptime of any AI provider or model.
  • Changes to provider pricing, rate limits, or terms of service.
  • Whether OpenRouter or downstream providers store, retain, review, or otherwise process your prompts/responses under their own policies.

Each provider's own terms and privacy policies apply to your use of their services. For BYOK users, your API usage and billing relationship is directly with OpenRouter and the underlying providers; Chapeta is not a party to that relationship.

10. Intellectual Property

Chapeta, including its design, code, features, branding, and documentation, is the intellectual property of Sagi Hammer (sole proprietor), doing business as Chapeta. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the application for personal or professional purposes in accordance with these Terms.

"Chapeta" and the Chapeta logo are trademarks of Sagi Hammer (sole proprietor), doing business as Chapeta. You may not use them without prior written permission except as reasonably necessary to refer to the product.

11. Disclaimers

Chapeta is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the extent permitted by applicable law, we disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the above:

  • AI outputs may be incorrect, incomplete, biased, or inappropriate. Do not rely on them for medical, legal, financial, or safety-critical decisions without independent professional verification.
  • Tool execution operates on your real system. We do not guarantee that tool actions will produce intended results or that safeguards will catch every harmful command.
  • We do not guarantee uninterrupted access to any AI model, provider, or feature.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Chapeta's total liability for any claim arising from or related to these Terms or your use of the app is limited to the amount you paid to Chapeta in the twelve (12) months preceding the claim, or for one-time purchases, the amount paid for that purchase.

To the extent permitted by applicable law, in no event shall Chapeta be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Data loss or corruption caused by tool execution.
  • System damage or unintended modifications to your files or applications.
  • API costs incurred through your own API key (BYOK plan).
  • Loss of profits, revenue, or business opportunities.
  • Damages arising from reliance on AI-generated outputs.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify and hold harmless Sagi Hammer (sole proprietor), doing business as Chapeta, and its contractors and service providers from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of Chapeta, (b) your violation of these Terms, (c) actions taken by tools you approved or enabled through autonomous modes, or (d) your violation of any applicable law or third-party rights.

14. Termination

You may stop using Chapeta at any time by uninstalling the app. For paid subscriptions, cancel through your Paddle customer portal before uninstalling to avoid further renewal charges. To request deletion of your account and associated email, contact privacy@chapeta.net.

We may suspend or terminate your access to Chapeta if you violate these Terms. In the event of termination, sections that by their nature should survive (including Disclaimers, Limitation of Liability, Indemnification, and Governing Law) remain in effect.

15. Service Availability and Changes

We may add, modify, suspend, or discontinue features, plans, integrations, or model availability at any time, including to maintain security, comply with legal obligations, or reflect provider changes. We do not guarantee continued availability of any specific model, provider, or feature.

16. Force Majeure

Chapeta is not liable for any delay or failure to perform resulting from circumstances beyond our reasonable control, including but not limited to: third-party provider outages (OpenRouter, AI model providers), internet or infrastructure failures, natural disasters, government actions, or cyberattacks. During such events, affected service obligations are suspended for the duration of the event. This section does not limit your rights under applicable consumer protection law.

17. Export and Sanctions Compliance

To the extent applicable, you may not use Chapeta in violation of export control or sanctions laws. You represent that you are not located in, ordinarily resident in, or using Chapeta on behalf of a person or entity in a jurisdiction subject to comprehensive sanctions, and that you are not on any applicable restricted party list.

18. Copyright Complaints

If you believe content on the Chapeta website, documentation, or branding materials infringes your copyright, send a notice to legal@chapeta.net with sufficient detail for us to investigate (including your contact information, a description of the copyrighted work, and the location of the allegedly infringing material).

19. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and notify you through the app or website. Continued use of Chapeta after changes take effect constitutes acceptance of the updated Terms. If you do not agree to updated Terms, stop using the app.

20. Dispute Resolution

Before filing any formal claim, you agree to attempt to resolve disputes informally by contacting us at legal@chapeta.net. We will attempt to resolve the dispute within thirty (30) days. If the dispute is not resolved informally, either party may pursue the claim in the courts described in Section 21.

Nothing in this section limits any non-waivable rights you may have under applicable consumer protection law.

21. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to conflict-of-law principles. If informal resolution under Section 20 is unsuccessful, disputes may be brought in the competent courts of Israel; this jurisdiction is non-exclusive where applicable law gives you the right to bring claims in another jurisdiction. Nothing in these Terms limits mandatory consumer venue rights under applicable law.

22. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Chapeta regarding the use of the app.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
  • No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
  • Assignment. You may not assign your rights under these Terms. We may assign or transfer our rights and obligations, including to an affiliate, successor, or acquiring entity (for example, in connection with a merger, acquisition, asset sale, or business reorganization). We will make reasonable efforts to notify you of any such assignment through the app or website.
